1. Acceptance of Terms

By accessing or using any service provided by Duaba Forge ("Duaba Forge", "we", "us", or "our"), including our website, development services, and client-delivered applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Definitions

  • "Client" means a business or individual that engages Duaba Forge for software development, design, or consulting services.
  • "Project" means a specific development engagement governed by a Statement of Work (SOW) or project agreement.
  • "Deliverables" means any software, designs, documentation, or other materials produced by Duaba Forge under a Project.
  • "User" means any individual who visits or interacts with the Duaba Forge website.
  • "Content" means any data, text, images, code, or materials uploaded, submitted, or generated through the Services.

3. Eligibility

You must be at least 18 years of age to enter into a service agreement with Duaba Forge. By engaging our Services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

4. Our Services

Duaba Forge provides full-service app development, including:

  • Custom web and mobile application development
  • Fintech, edtech, SaaS, and marketplace platform engineering
  • API design, backend systems, and cloud architecture
  • UI/UX design and product strategy
  • Maintenance, support, and scaling services

5. Project Agreements & Scope

5.1 Statements of Work

  • All development projects are governed by a separate Statement of Work (SOW) or project agreement.
  • The SOW defines the project scope, timeline, deliverables, milestones, and payment terms.
  • Changes to project scope require written agreement from both parties.

5.2 Client Responsibilities

  • Clients must provide timely feedback, approvals, and required materials.
  • Delays in client responsiveness may affect project timelines.
  • Clients are responsible for the accuracy of requirements and content provided.

5.3 Acceptance & Delivery

  • Deliverables are subject to acceptance criteria defined in the SOW.
  • Clients have a reasonable review period to request revisions within the agreed scope.
  • Deliverables are deemed accepted if no objection is raised within the review period.

6. Intellectual Property

Intellectual property ownership for project deliverables is governed by the applicable project agreement or SOW. In the absence of a specific agreement:

  • Custom code and designs created for a client project are assigned to the client upon full payment.
  • Duaba Forge retains rights to proprietary frameworks, libraries, tools, and methodologies used across projects ("Forge Tools").
  • Duaba Forge may use anonymised project descriptions and screenshots in its portfolio unless otherwise agreed.
  • All intellectual property in the Duaba Forge website, branding, and marketing materials remains the property of Duaba Forge.

7. Payment & Fees

  • Payment terms, rates, and schedules are defined in the applicable SOW or project agreement.
  • Unless otherwise agreed, invoices are due within 14 days of issuance.
  • Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.
  • Duaba Forge reserves the right to pause work on projects with outstanding payments exceeding 30 days.
  • All fees are exclusive of applicable taxes unless stated otherwise.

8. Confidentiality

Both parties agree to keep confidential information received from the other party private and to not disclose it to third parties without prior written consent. Confidential information includes business plans, technical specifications, pricing, and proprietary data.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Warranties & Disclaimers

  • Duaba Forge warrants that Services will be performed in a professional and workmanlike manner.
  • We provide a 30-day warranty period after delivery for defect fixes within the original scope.
  • EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • We do not warrant that deliverables will be error-free, uninterrupted, or meet all future requirements beyond the agreed scope.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUABA FORGE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL DUABA FORGE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

11. Termination

  • Either party may terminate a project agreement with 30 days' written notice.
  • Either party may terminate immediately for material breach if the breach is not cured within 15 days of notice.
  • Upon termination, the client shall pay for all work completed up to the termination date.
  • Duaba Forge will deliver all completed work and materials upon receipt of final payment.
  • Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

12. Acceptable Use

You agree not to use our website or services to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code or harmful software
  • Scrape, crawl, or extract data without authorisation
  • Interfere with or disrupt the website or services
  • Impersonate any person or entity
  • Engage in any fraudulent or deceptive conduct

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Ghana. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Accra, Ghana.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Services after changes constitutes acceptance.
